1. Introduction

Welcome to Ally by WA.I.TER Adaptive Insights LLC ("Ally," "we," "our," or "us"). Ally is owned and operated under WA.I.TER Adaptive Insights LLC but does business as (DBA) Ally by WA.I.TER. By accessing and using https://www.allybywaiter.com/ (the "Website") and Ally by WA.I.TER’s services, you agree to these Terms and Conditions. If you do not agree, please refrain from using our services.

2. Acceptance of Terms

By visiting, browsing, or using Ally by WA.I.TER’s Website and services, you acknowledge that continued use constitutes agreement to these Terms. No explicit consent (such as checking a box) is required.

3. Eligibility & Account Registration

  • Users must create an account to access all Ally features, except for blogs and the shop. However, account creation is recommended for a better shopping experience (e.g., saved payments, addresses).

  • Minors under 18 may create an account, but by doing so, their parent/guardian implies consent and assumes responsibility for their usage of Ally.

4. Services Provided

Ally is an AI-powered assistant designed to help aquarium, pool, and hot tub owners manage water quality, equipment, and maintenance efficiently. Our services include:

  • Smart Water Management: Tracks and analyzes water parameters for saltwater and freshwater aquariums, pools, and hot tubs.

  • AI-Powered Assistance: Provides expert recommendations for troubleshooting water quality issues, equipment maintenance, and general care.

  • Integrated Store Solutions: Direct links to necessary products for water care and equipment replacements.

  • Subscription Plans: Offers tiered plans with premium features for in-depth analysis and personalized recommendations.

  • Future Expansion: Dedicated pool UI and additional support for ponds and other water-related solutions coming soon.

5. Subscription Plans & Payments

Ally offers various subscription plans, including:

  • OG Member Beta: $9.99/month (Limited-time offer, valid until April 10, 2025)

  • Premium Tank Plan: $19.99/month

  • Gold Tank Plan: $34.99/month

  • Premium Pool Plan: $19.99/month

  • Gold Pool Plan: $34.99/month

Billing & Renewals:

  • Subscriptions are auto-renewed monthly unless canceled.

  • Users may cancel at any time, but no refunds will be issued after payment is processed.

6. Prohibited Activities

Users must not:

  • Reverse-engineer, copy, or attempt to manipulate Ally’s AI models or software.

  • Use AquaBot for illegal, fraudulent, or abusive activities.

  • Spam, misuse, or abuse AI-generated recommendations.

  • Resell or redistribute Ally-generated insights without explicit permission.

Violation of these terms will result in immediate account termination without prior warning. Users may contact support to request reinstatement.

7. Data Ownership & Sharing Restrictions

  • Users retain ownership of their personal tank logs and data, but Ally retains ownership of AI-generated insights, reports, and analytics.

  • Sharing Ally-generated insights publicly (social media, forums, blogs) is strictly prohibited without explicit permission.

8. Disclaimers & Limitation of Liability

  • Ally does not replace professional aquarium, pool, or hot tub care.

  • AI recommendations are based on available data and may not be 100% accurate. Users are responsible for verifying any suggested actions before implementation.

  • Ally is not liable for damages, including loss of fish, equipment failure, or pool/hot tub issues resulting from incorrect AI recommendations, service outages, or user misinterpretation.

  • Users are responsible for maintaining accurate tank, pool, or hot tub data to ensure proper AI recommendations.

  • Ally does not guarantee uninterrupted service availability and may experience downtime due to maintenance, software updates, or unexpected issues.

9. Account Termination & Suspension

Ally reserves the right to immediately suspend or terminate accounts for violations of these Terms. Users may contact info@allybywaiter.com to request reinstatement.

10. Governing Law & Dispute Resolution

  • Any disputes shall be governed by the laws of Alabama, USA.

  • Disputes will be resolved through binding arbitration rather than in court.

11. Account Deletion & Data Requests

  • Users may request account deletion and associated data removal by contacting info@allybywaiter.com.

  • Some data (e.g., transaction records) may be retained for legal purposes.

12. Force Majeure

Ally  shall not be held responsible for delays or failure in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, power outages, cyberattacks, server failures, or unforeseen technical issues.

13. Modification of Services

Ally reserves the right to modify, suspend, or discontinue any of its services, features, or content at any time without prior notice or liability to users.

14. Indemnification

By using Ally, users agree to indemnify and hold WA.I.TER Adaptive Insights LLC, its affiliates, and employees harmless from any claims, damages, liabilities, or expenses arising from their use or misuse of the platform.

15. Third-Party Integrations Disclaimer

Ally integrates with third-party services such as payment processors (Stripe, PayPal), analytics tools (Google Analytics), and other external platforms. We are not responsible for the security, policies, or functionality of these third-party services, and users should review their respective terms and policies.

16. Beta Feature Disclaimer

Users who subscribe to the OG Member Beta Plan or access beta features acknowledge that these features may be experimental, unstable, and subject to change or removal at any time without notice. Ally does not guarantee the performance or availability of beta features.

17. Survival Clause

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue to be valid and enforceable. Additionally, all provisions related to data ownership, liability limitations, indemnification, and dispute resolution shall survive the termination of a user account.

18. User Support Policy

Users can contact info@allybywaiter.com for support inquiries. Response times may vary, but we aim to address issues within 48 hours on business days.

19. Affiliate & Referral Disclaimer

If Ally offers an affiliate or referral program, users must comply with all guidelines. Ally reserves the right to modify or discontinue any referral rewards at its discretion.

20. Security Responsibilities

Users are responsible for maintaining the security of their login credentials and personal account information. Ally is not responsible for unauthorized account access due to weak passwords or user negligence.

21. Updates to Terms

We reserve the right to update these Terms at any time. Updates will be posted with the last updated date at the top of this page.
